VALUE-ADDED RESELLER (VAR) AGREEMENT
This Value-Added Reseller Agreement ("Agreement") is made as of [DATE] by and between:
[YOUR COMPANY NAME], a [STATE] corporation ("Vendor")
and
[VAR COMPANY NAME], a [STATE] corporation ("VAR")
RECITALS
WHEREAS, Vendor owns and licenses [SOFTWARE PRODUCT];
WHEREAS, VAR provides implementation, customization, and consulting services;
WHEREAS, VAR desires to resell Vendor's software along with its value-added services;
NOW, THEREFORE, the parties agree:
1. DEFINITIONS
1.1 "Software" means Vendor's software products listed in Exhibit A.
1.2 "Services" means professional services provided by VAR including implementation, customization, training, and support.
1.3 "Solution" means the combined offering of Software plus Services.
1.4 "End Customer" means the entity purchasing the Solution from VAR.
2. APPOINTMENT AND SCOPE
2.1 Authorization. Vendor appoints VAR as a non-exclusive value-added reseller authorized to:
- Resell Software licenses
- Provide implementation and customization services
- Offer training and ongoing support
- Create bundled Solutions for End Customers
2.2 Territory. VAR is authorized to sell in [TERRITORY].
2.3 Certification. VAR shall maintain at least [2] employees certified on the Software per Vendor's certification program.
3. PRICING AND REVENUE MODEL
3.1 Software Pricing. VAR shall purchase Software licenses at:
- [40%] discount off Vendor's list price for annual subscriptions
- [35%] discount for multi-year subscriptions

3.2 Services Revenue. VAR retains 100% of revenue from its Services, including:
- Implementation fees
- Customization and configuration

- Ongoing support and managed services
3.3 Deal Registration. VAR may register deals to secure pricing and prevent channel conflict. Registered deals receive:
- Additional [5%] discount
- Protection from other VARs for [90] days
- Dedicated sales engineering support
4. PROFESSIONAL SERVICES
4.1 Service Offerings. VAR may provide:
a) Needs Assessment and Solution Design
b) Software Installation and Configuration
c) Custom Development and Integration
d) Data Migration
e) Training and Change Management
f) Ongoing Support and Managed Services
4.2 Service Standards. VAR shall:
- Follow Vendor's implementation best practices
- Use certified resources for delivery
- Maintain customer satisfaction scores above [80%]
- Escalate technical issues to Vendor within [24 hours]
4.3 Vendor Support. Vendor shall provide:
- Pre-sales technical support
- Implementation best practices and templates
- Access to technical documentation
- Escalation support for complex issues
5. INTELLECTUAL PROPERTY
5.1 Software IP. All rights to the Software remain with Vendor. VAR receives only a right to sublicense per this Agreement.
5.2 Customizations. Ownership of custom code depends on nature:
a) General enhancements funded by VAR: VAR owns, grants license to Vendor
b) Customer-specific customizations: Customer owns
c) Enhancements to core Software: Vendor owns
5.3 VAR IP. VAR retains all rights to its proprietary methodologies, templates, and processes.
6. SUPPORT RESPONSIBILITIES
6.1 Tier 1 Support (VAR). VAR provides first-line support including:
- User questions and how-to guidance
- Configuration assistance
- Basic troubleshooting
- Support hours: [9 AM - 5 PM local time, Mon-Fri]
6.2 Tier 2/3 Support (Vendor). Vendor provides:
- Bug fixes and patches
- Core product issues
- Architecture and scalability guidance
- Support hours: [24/7 for Severity 1 issues]
6.3 Support Fees. End Customers pay annual support fees as follows:
- [20%] of annual license value to VAR (for Tier 1 support)
- [15%] of annual license value to Vendor (for Tier 2/3 and product updates)
7. MARKETING AND LEAD GENERATION
7.1 Co-Marketing. Parties shall collaborate on:
- Joint webinars and events
- Case studies and success stories
- Co-branded collateral
- Industry conferences
7.2 Marketing Fund. Vendor may provide Market Development Funds (MDF) based on:
- [10%] of Software revenue for VARs exceeding [$100K] quarterly
- Requires pre-approval and proof of execution
7.3 VAR Branding. VAR may:
- Identify as an authorized VAR of Vendor
- Use Vendor's trademarks per brand guidelines
- Create co-branded proposals and presentations
8. TRAINING AND CERTIFICATION
8.1 Initial Training. Vendor shall provide:
- Technical training for [2] VAR employees (no charge)
- Sales training and product positioning
- Access to online learning portal
8.2 Ongoing Certification. VAR shall:
- Maintain at least [2] certified professionals
- Recertify annually
- Participate in product update training
8.3 Costs. Initial certification is complimentary; recertification costs [$500] per person.
9. DEAL REGISTRATION AND CONFLICT RESOLUTION
9.1 Registration Process. VAR may register opportunities by submitting:
- Customer name and contact
- Estimated license value
- Expected close date
- Proof of active engagement
9.2 Protection Period. Approved registrations receive [90-day] protection from other channel partners.
9.3 Conflicts. If multiple VARs claim the same opportunity:
- First to register wins (if within protection period)
- If no registration, customer chooses VAR
- Vendor makes final determination in disputes
10. PERFORMANCE EXPECTATIONS
10.1 Revenue Targets. VAR commits to:
- Year 1: [$100,000] in Software revenue
- Year 2: [$250,000] in Software revenue

10.2 Consequences. Failure to meet targets may result in:
- Reduced discounts
- Loss of deal registration privileges
- Termination of Agreement
11. TERM AND TERMINATION

11.2 Termination for Cause:
- Material breach uncured within [30] days
- Bankruptcy or insolvency

11.3 Effect of Termination:
- VAR shall cease marketing as authorized VAR
- Existing End Customers may continue using Software
- VAR may fulfill existing service contracts
- Vendor may offer to assume ongoing support contracts
12. WARRANTIES AND DISCLAIMERS
12.1 Vendor Warranties. Software will substantially conform to Documentation.
12.2 VAR Warranties. VAR warrants that Services will be performed in a professional manner consistent with industry standards.
12.3 DISCLAIMER. EXCEPT AS EXPRESSLY STATED, VENDOR DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE.
13. LIMITATION OF LIABILITY
13.1 EXCLUSION. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13.2 CAP. VENDOR'S LIABILITY IS LIMITED TO AMOUNTS PAID BY VAR IN THE [12] MONTHS PRECEDING THE CLAIM.
13.3 VAR RESPONSIBILITY. VAR is solely responsible for its Services and any liability arising therefrom.
14. GENERAL PROVISIONS
14.1 Independent Contractors. Parties are independent contractors.
14.2 Governing Law. [STATE] law governs, excluding conflict of laws.
14.3 Entire Agreement. This supersedes all prior agreements.
14.4 Assignment. No assignment without prior written consent.
